金管會表示，上市櫃公司應辦理電子投票卻未辦理電子投票，想要發行有價證券將可能會被退件。

金融監督管理委員會表示，擴大公司應採電子投票的條件，自民國105年起，資本額為新台幣50億元、股東人數1萬人以上的上市櫃公司，擴大到新台幣20億元、股東人數1萬人以上，都要辦理電子投票作為表決權行使的管道之一。

金管會表示，經初步調查，符合擴大範圍的上市櫃公司共計456家（上市415家、上櫃41家），新增237家。

為了落實電子投票，強化股東權益，電子投票應揭露在公開資訊觀測站公司治理專區外，且申報募集與發行有價證券案件，也將是否辦理電子投票列入募集與發行有價證券處理準則的退件條件之一。也就是說，應辦理電子投票而未辦理電子投票的上市櫃公司，想要發行有價證券就有可能會被退件。

此外，未來若想要上市櫃的公司，同樣自105年起應在公司章程中，將電子投票方式列為股東行使表決權的管道之一。(中央社)
